Terms of Service

These Terms explain the rules for using worksfine.dev and WorksFine software, downloads, products, and related services.

Agreement to these Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you") and WorksFine ("WorksFine," "we," "us," or "our") regarding your access to and use of the WorksFine website, software, downloads, products, documentation, support channels, and related services (collectively, the "Services").

WorksFine operates https://worksfine.dev and builds focused Mac apps, CLI tools, and lightweight utilities that keep everyday work moving.

By accessing or using the Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must not use the Services.

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.

1. Our Services

WorksFine provides a software/app hub, product landing pages, software downloads, open-source project links, documentation links, support resources, and related product information.

Some WorksFine products may be free and open source. Others may be paid, trial-based, licensed, or distributed through third-party checkout and download providers. Product-specific pages, repository licenses, app licenses, or checkout terms may provide additional rules for specific products.

You are responsible for complying with all laws and regulations that apply to your use of the Services. The Services are not designed for use in regulated industries or high-risk environments, including healthcare, financial compliance, emergency services, critical infrastructure, or any use requiring compliance with laws such as HIPAA, FISMA, GLBA, or similar industry-specific regulations.

2. Intellectual property rights

Our intellectual property

Unless otherwise stated, we own or license the intellectual property rights in the Services, including website design, product names, branding, logos, text, graphics, product pages, software interfaces, documentation, and other content made available through the Services (collectively, the "Content").

The WorksFine name, WorksFine brand assets, product names, product logos, and related marks are owned by us or used by us with permission. You may not use our marks in a way that suggests endorsement, affiliation, or ownership without our written permission.

Open-source software

Some WorksFine products or components may be released under open-source licenses. For open-source projects, the license in the relevant repository or distributed software package controls your rights to use, copy, modify, and distribute that software.

If there is a conflict between these Terms and a specific open-source license for open-source code, the open-source license controls for that code.

Your use of our Content

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Content for personal use, internal business use, product evaluation, or lawful use of WorksFine products.

Except as allowed by these Terms, a product-specific license, or applicable law, you may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or commercially exploit the Services or Content without our prior written permission.

Feedback and suggestions

If you send us ideas, feedback, bug reports, feature requests, suggestions, or other comments about the Services ("Feedback"), you grant us the right to use that Feedback for any lawful purpose without restriction, attribution, or compensation to you.

You are responsible for ensuring that any Feedback or other material you send us does not include confidential information unless we have separately agreed in writing to treat it as confidential.

3. User representations

By using the Services, you represent and warrant that:

  • You have the legal capacity to agree to these Terms.
  • You will comply with these Terms and all applicable laws.
  • You will not use the Services for any illegal or unauthorized purpose.
  • You will not interfere with or disrupt the Services.
  • You will not attempt to access the Services through unauthorized automated means.
  • Any information you provide to us will be accurate, current, and complete.

If you are a minor in your jurisdiction, you may use the Services only with permission and supervision from a parent or legal guardian.

4. Purchases and payment

Some WorksFine products may be sold as paid downloads, one-time purchases, subscriptions, paid licenses, upgrades, or other commercial offerings.

If you make a purchase, you agree to provide accurate and complete purchase, billing, tax, and contact information. You authorize the applicable payment provider to charge your selected payment method for the purchase amount, applicable taxes, and any other disclosed fees.

Payments may be processed by third-party providers such as Stripe, Lemon Squeezy, or another checkout, payment, licensing, tax, or download provider. Their own terms and privacy policies may apply to checkout, payment processing, tax handling, fraud prevention, refunds, and license delivery.

We may change prices at any time. Price changes do not affect purchases already completed unless clearly stated or required by law. We reserve the right to correct pricing errors, availability errors, or product-description errors.

We may refuse, cancel, or limit an order if we believe the order is fraudulent, abusive, unauthorized, violates these Terms, violates applicable law, or creates operational risk.

5. Trials, subscriptions, and paid licenses

Trials

Some products may include a free trial. Trial availability, trial duration, feature limits, usage limits, and trial conversion terms may vary by product and will be described on the relevant product page, checkout page, or app interface.

Trial access may be limited, modified, or discontinued if we detect abuse, technical misuse, repeated trial creation, circumvention of trial limits, or other conduct that violates these Terms.

Subscriptions

If we offer subscriptions, the subscription will continue and renew according to the terms shown at checkout unless canceled. By purchasing a subscription, you authorize recurring charges until cancellation.

You are responsible for canceling a subscription before the next billing date if you do not want it to renew. Cancellation instructions may be provided by the checkout provider, licensing provider, app interface, or product page.

One-time licenses

Some products may be sold as one-time licenses. A one-time license grants the rights described at purchase and in any applicable license terms. It does not guarantee lifetime hosting, lifetime third-party service availability, perpetual compatibility with all future operating systems, or unlimited future feature updates unless explicitly stated.

Refunds

Refund eligibility may vary by product. If a separate refund policy applies, it will be posted at Refund Policy or on the relevant product or checkout page.

6. Software

WorksFine may provide software for use in connection with the Services. If software is accompanied by a separate license agreement, end user license agreement, open-source license, or repository license, that license governs your use of the software.

If no separate license is provided, we grant you a limited, non-exclusive, revocable, non-transferable license to install and use the software solely for your personal or internal business use and in accordance with these Terms.

Software and related documentation are provided "as is" and "as available" unless otherwise stated in a product-specific license or required by law. You accept the risks associated with installing, configuring, and using software, including compatibility issues, data loss, workflow disruption, or unexpected behavior.

You may not reproduce, redistribute, resell, sublicense, rent, lease, modify, reverse engineer, decompile, disassemble, or attempt to derive source code from software except as permitted by the applicable license or by law.

7. AI-powered features

Some WorksFine products may include features powered by artificial intelligence, machine learning, large language models, or third-party AI providers. AI features may process text, prompts, selected content, outputs, metadata, or other information needed to provide the feature.

You are responsible for the content you submit to AI-powered features. Do not submit passwords, API keys, credentials, sensitive personal information, confidential business information, regulated data, or content you do not have the right to process unless the relevant product documentation explicitly says it is appropriate.

AI-generated outputs may be inaccurate, incomplete, inappropriate, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them, publishing them, or using them in production, professional, legal, financial, medical, or other important contexts.

Some products may require or allow you to use your own third-party API key. In that case, your use of the third-party provider is also governed by that provider's own terms, policies, pricing, and privacy practices.

8. Prohibited activities

You may not access or use the Services for any purpose other than the purpose for which we make them available. You agree not to:

  • Use the Services in a way that violates any applicable law or regulation.
  • Use the Services for fraud, abuse, harassment, impersonation, or harmful conduct.
  • Upload, transmit, or distribute viruses, malware, spyware, or harmful code.
  • Interfere with, disrupt, overload, or degrade the Services or related networks.
  • Circumvent security, access controls, licensing checks, usage limits, or trial limits.
  • Use bots, scrapers, automated tools, or data-mining systems except for normal search engine indexing or as expressly permitted.
  • Copy, adapt, reverse engineer, decompile, or disassemble software except as permitted by applicable license terms or law.
  • Remove copyright, trademark, or proprietary notices from the Services or Content.
  • Use the Services to compete with us using unauthorized copying, scraping, cloning, or reproduction of Content or software.
  • Use support channels to submit false, abusive, or misleading reports.
  • Collect email addresses, contact details, or other information from the Services for unsolicited communication.
  • Use the Services in regulated, high-risk, safety-critical, or legally sensitive environments where failure could cause harm.

Violation of this section may result in suspension or termination of access, refusal of support, license cancellation where legally permitted, or other appropriate action.

9. User submissions and contributions

The Services currently do not offer a public user-generated content platform. However, you may send us Feedback, support messages, bug reports, feature requests, contact form submissions, or other materials.

You are responsible for anything you submit to us. You agree not to send material that is unlawful, harmful, defamatory, abusive, discriminatory, misleading, infringing, confidential without authorization, or otherwise inappropriate.

You retain ownership of content you submit, but you grant us the rights needed to read, store, process, respond to, troubleshoot, and use that content to provide support, improve products, operate the Services, and comply with law.

10. Third-party websites and content

The Services may contain links to third-party websites, repositories, checkout pages, payment providers, sponsor pages, documentation, APIs, download hosts, app update services, analytics providers, AI providers, and other resources.

We are not responsible for third-party websites, services, products, content, terms, privacy practices, availability, accuracy, security, or transactions. If you access third-party services, you do so at your own risk and should review the applicable third-party terms and policies.

11. Advertising

WorksFine does not currently display third-party advertising on the Website. If advertising is introduced in the future, we may update these Terms and our related policies.

12. Services management

We reserve the right, but do not have the obligation, to manage the Services in a way designed to protect our rights, property, users, systems, and products.

We may monitor for violations of these Terms, restrict or block access, remove or disable content, refuse support, investigate misuse, report unlawful conduct, or take other appropriate action where we believe it is necessary.

13. Privacy Policy

Please review our Privacy Policy. It explains how we collect, use, store, and share personal information. By using the Services, you acknowledge that your personal information may be processed as described in the Privacy Policy.

The Services are operated from or connected to the United States. If you access the Services from outside the United States, you understand that your information may be transferred to, stored in, or processed in the United States or other countries where our service providers operate.

14. Term and termination

These Terms remain in effect while you use the Services. We may deny, suspend, restrict, or terminate access to the Services at any time if we believe you violated these Terms, violated applicable law, created risk, abused the Services, or acted in a way that may harm us, users, service providers, or third parties.

If your access is terminated or suspended, you may not attempt to bypass that action by creating new accounts, using alternate identities, using technical workarounds, or accessing the Services through unauthorized means.

15. Modifications and interruptions

We may change, update, suspend, discontinue, or remove parts of the Services at any time. We may also change product availability, features, prices, downloads, documentation, supported platforms, or service providers.

We cannot guarantee that the Services will always be available, uninterrupted, secure, or error-free. The Services may be unavailable due to maintenance, outages, hosting issues, third-party failures, software bugs, security incidents, or other reasons.

We are not liable for loss, damage, or inconvenience caused by your inability to access or use the Services during downtime, discontinuation, or interruption, except where liability cannot be excluded by law.

16. Governing law

These Terms and your use of the Services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

If applicable consumer protection laws in your jurisdiction require a different governing law or forum, those mandatory legal rights are not limited by these Terms.

17. Dispute resolution

Informal resolution

Before starting a formal claim, you and WorksFine agree to try to resolve any dispute informally for at least thirty (30) days. Informal resolution begins when one party sends written notice to the other party describing the dispute.

Arbitration

If a dispute cannot be resolved informally, the dispute may be resolved by binding arbitration as permitted by applicable law. Arbitration means that the dispute is resolved by an arbitrator instead of a judge or jury.

Any arbitration will be conducted under applicable arbitration rules and procedures, unless applicable law requires otherwise. Where permitted by law, arbitration will take place in Wyoming or remotely.

Class action waiver

To the fullest extent permitted by law, disputes must be brought individually and not as part of a class, collective, consolidated, private attorney general, or representative action.

Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief for intellectual property misuse, unauthorized access, security abuse, piracy, confidentiality issues, or other urgent legal harm.

18. Corrections

The Services may contain typographical errors, inaccuracies, omissions, outdated information, pricing errors, availability errors, product-description errors, or compatibility errors.

We reserve the right to correct errors, update information, change descriptions, change pricing, or modify availability at any time without prior notice.

19. Disclaimer

The Services are provided on an "as is" and "as available" basis. You use the Services at your own risk.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, compatibility, security, and error-free operation.

We do not guarantee that the Services will meet your requirements, work with every device or operating system, remain available indefinitely, or produce error-free results.

Software, CLI tools, AI-powered features, and automation utilities may behave unexpectedly. You are responsible for reviewing outputs, maintaining backups, testing changes, and using reasonable judgment before relying on results.

20. Limitation of liability

To the fullest extent permitted by law, WorksFine and its owners, employees, contractors, service providers, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, device issues, or software failure arising from or related to your use of the Services.

To the fullest extent permitted by law, our total liability for any claim related to the Services will be limited to the amount you paid to us for the relevant product or service during the six (6) months before the claim arose, or USD $100 if you did not pay us during that period.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, some limitations may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold WorksFine harmless from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your violation of another person's rights, including intellectual property or privacy rights.
  • Your submissions, Feedback, content, data, or materials provided to us or processed through the Services.
  • Your use of AI-generated, automated, or software-generated outputs.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

22. User data

You are responsible for data, text, files, commands, configuration, API keys, credentials, selected text, outputs, backups, and other materials you use with the Services.

Some products may store data locally on your device. Other products or features may use third-party services, such as payment providers, update providers, licensing systems, or AI providers. Product-specific documentation may describe how specific products handle data.

Although we may take reasonable measures to protect data we process, you are responsible for maintaining your own backups and protecting your own devices, files, credentials, and API keys.

23. Electronic communications

Visiting the Website, contacting us by email, submitting forms, downloading software, purchasing products, using online checkout, and using the Services constitute electronic communications.

You consent to receive electronic communications from us. You agree that agreements, notices, disclosures, invoices, receipts, license messages, policy updates, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

24. California users and residents

If you are a California resident and a complaint with us is not resolved to your satisfaction, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Terms, together with any policies or product-specific terms posted by us, constitute the entire agreement between you and WorksFine regarding the Services.

Our failure to enforce any right or provision of these Terms does not waive that right or provision. If any part of these Terms is found unlawful, void, or unenforceable, that part will be treated as severable and will not affect the validity of the remaining provisions.

We may assign our rights and obligations under these Terms to another party. You may not assign your rights or obligations under these Terms without our prior written permission.

We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including hosting outages, third-party provider issues, network failures, legal restrictions, natural disasters, labor disputes, war, civil unrest, or security incidents.

No joint venture, partnership, employment, or agency relationship is created between you and WorksFine by these Terms or your use of the Services.
